Terms and Conditions– Hotel Website

The Hotel Spirit of Herzl hotel boutique (the “Hotel”) thanks you for your choice to visit our website located at: www.hotelherzl.com (the “Site”).

The Site is designed in order to provide customers and visitors with a convenient and secure platform for booking and purchasing accommodations and vacation packages at the Hotel (the “Services”). The Site also provides information about the Hotel, available accommodation options, and additional services offered by the Hotel.

Our privacy notice, published at www.hotelherzl.com, governs the collection, processing, and transfer of personal information (as defined in the privacy notice) by us (the “Privacy Notice”). Please note that we have also published an additional privacy notice regarding the use of the Simple Booking platform through which reservations are made.

 

  1. Use of the Site
    • These Terms and Conditions (the “Terms”) constitute a binding agreement between you, whether as an individual or on behalf of a corporation, (“you”) and the Hotel in connection with browsing and use of the Services and/or Site on any computer or communication device, such as a mobile phone, tablet, etc. They also apply to the use of the Services and/or Site, whether via the internet or any other network or means of communication, including access via phone, app, or any other means. Please read these Terms carefully, as browsing the Site and taking any actions on it indicate your agreement to these Terms. If you do not agree to all the terms hereunder, you are not permitted to access or use the Site or any connected Services.
    • In case of any contradiction between these Terms and any translation into another language, the Hebrew version shall prevail in any legal matter or question of interpretation.
    • The Hotel reserves the right to change these Terms at its sole discretion and without prior notice. Updates will be made by updating the “last updated” date in the Terms, and you waive any right to receive notice of such changes. Continued use of the Site or Services after the revised Terms take effect constitutes your agreement to the revised Terms. If you do not agree to the same, you must stop using the Site and/or Services.
    • Purchasing and use of the Site are intended only for legally competent persons aged 18 and above.

 

  1. Intellectual Property
    • Unless explicitly stated otherwise, all copyrights and intellectual property rights in the Site, including designs, images, databases, software, code, audio, video, text (the “Content”), as well as logos, trademarks, etc. (the “Marks”), are owned solely by the Hotel or by a third party (including any business partners of the Hotel) who has authorized or licensed the Hotel to use them.
    • The Content and Marks are provided “as is” for personal use only. Unless explicitly stated otherwise, you may not copy, distribute, publicly display, perform, transmit, modify, process, create derivative works, sell, or rent any part of the above, directly or through a third party, in any way or by any means, in any manner or by any means, whether electronic, mechanical, optical, photographic, recording, or any other means or method whatsoever, without prior written consent from the Hotel or the rights holders, all as applicable and in accordance with the terms of the approval (if provided).
    • If you meet the eligibility requirements to browse the Site, the Hotel grants you a limited license to use any portion of the Content and to download or print a copy of any part of the Content for personal, non-commercial use only.

 

  1. User Representations
    • When browsing the Site and/or registering for the newsletter and/or the Hotel’s/Chain’s loyalty program, you declare and undertake as follows:
  2. Browsing and use of the services are at your sole responsibility;
  3. The information that you provide, including when making any purchase on the Site, is correct, current, accurate, and complete;
  4. You will update your information if necessary
  5. You are legally competent and consent to the Terms;
  6. You will not use automated or non-human means to use the Site, including, without limitation, any BOT, script, or other mean,s and will not collect any data by such means;
  7. You will not use the Site and/or Services for illegal purposes;
  8. Your use of the Site and/or Services will not violate any applicable law or regulation.
    • The Hotel may prevent any user from using the Site at its sole discretion, including, without limitation, by blocking access to the Site or any portion of it, if false, outdated, or incomplete information is intentionally provided.

 

  1. Prohibited Activities on the Site and/or in connection with the Services
    • You may only use the Site or Services for their intended purposes. Use is permitted for private and personal purposes only, and not for commercial purposes, unless the same is specifically approved in writing by the Hotel. If commercial use is made of the Site, the Hotel will be allowed to take any available legal action.
    • The Hotel may prevent users from making a booking on the Site and/or cancel a user’s booking in the event of improper conduct and/or commercial use of the Site or Services and/or unreasonable use of the Site and/or failure to comply with the Terms and Site policies and/or for any other reason, at its sole discretion.
    • You agree not to:
  2. Retrieve data or Content in order to create a collection, database, or directory without prior written approval from the Hotel;
  3. Make any use of the Site’s designs;
  4. Use the Site for unauthorized purposes, including collecting email addresses or other Content, by electronic or other means for purposes of sending emails by automated means;
  5. Bypass, disable, or otherwise interfere with the security features of the Site, including (without limitation) through the use of applications or other means that prevent or restrict the use or copying of any Content.
  6. Deceive or mislead the Hotel or its users;
  7. Misuse any provided support services or submit false reports in connection with the use of the Site;
  8. Make automated use of the systems, including, without limitation, the use of scripts to send comments or messages, or the use of data mining, robots, or similar data gathering and extraction tools;
  9. Attempt to impersonate another person;
  10. Use information obtained from the Site to harass, abuse, or harm another person;
  11. Use the Site as part of any effort to compete with the Site and/or Services;
  12. Retrieve, decipher, or reverse engineer any part of the Site, any feature of the Site, or any application on the Site;
  13. Harass, intimidate, or threaten any employee or agent of the Site or Hotel;
  14. Delete copyright or proprietary rights notices from any Content or Marks;
  15. Copy or adapt the Site’s code, in whole or in part, including, without limitation, Flash, PHP, HTML, JavaScript, or any other code;
  16. Upload or transmit (or attempt to do the same) any viruses, Trojan horses, or other material (including spam) that interferes with the Site;
  17. Take any action that may cause harm or damage to the Site, in accordance with the sole discretion of the Hotel;
  18. Use the Site and/or Services in a manner inconsistent with the law, regulations, or case law.
    • Any use of the Site and/or Services in violation of the above may result in termination or suspension of your rights to use the Site and/or Services.

 

  1. Third-Party Content
    • The Site may provide links to other websites (“Third-Party Websites”) as well as articles, images, text, graphics, designs, music, sound, video, information, applications, software, and other content or items originating from or belonging to Third-Party Websites (“Third-Party Content”). Except for the Simple Booking reservation platform, Third-Party Websites and Third-Party Content are not investigated, monitored, or reviewed by the Hotel, and the Hotel bears no responsibility for any Third-Party Content posted through the Site, accessed through the Site, available on the Site, or installed on it, including with respect to the content, opinions, reliability, privacy practices, or other policies of or contained in any Third-Party Website or Third-Party Content. The use of, linking to, permission to use, or installation of any Third-Party Websites or any Third-Party Content shall not be construed as our approval or endorsement thereof.
    • The Hotel assumes no responsibility for any purchase you may make from Third-Party Websites or from other companies, which shall be made and remain valid solely between you and the relevant third party, except for purchases made through the Simple Booking reservation platform, as stated in Section 5.1 above.
  2. Site Management:

We reserve the right to: (1) monitor violations of these Terms; (2) take legal action against anyone who, at the Hotel’s sole discretion, violates applicable law or these Terms, including, without limitation, by reporting such user to law enforcement authorities; (3) refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your contributions to the Site, in whole or in part, at the Hotel’s sole discretion and without limitation; and (4) otherwise manage the Site in a manner designed to protect its rights and property and to facilitate its proper operation.

 

  1. User Content and Copyright Infringement:
    • The Site and/or Services may allow you to add or submit certain content and/or data, such as reviews (the “User Content”). The Hotel may also collect User Content from other websites.
    • You are solely responsible for any User Content that you submit and/or upload through the Site and/or the Services. You represent and warrant that the User Content complies with all applicable laws, that you hold all necessary rights to upload or submit the User Content to the Services, and that the User Content does not infringe (or cause the infringement of) any third party’s intellectual property rights, moral rights, publicity rights, or privacy rights. We do not undertake to accept, display, review, or maintain any User Content. Furthermore, we reserve the right to remove and permanently delete any Content, including User Content, without prior notice, for any reason whatsoever and at any time. We do not endorse any content, opinions, or recommendations expressed in User Content or by any user, and we expressly disclaim all liability relating to any Content, including, without limitation, User Content.
    • We may, at our sole discretion, monitor User Content to detect inappropriate or unlawful behavior, including through automated means; however, the Hotel is under no obligation to monitor User Content or users’ use of the Services and/or the Site. The Hotel may nevertheless do so, and may also remove User Content and/or restrict the use of the Services and/or Site if, in its sole discretion, such use or User Content violates any of the user’s obligations under these Terms.
    • User Content that you provide, submit, publish, and/or upload when using the Services and/or Site remains your sole property, and all intellectual property rights in your User Content remain yours. By providing, submitting, publishing, or uploading any User Content in connection with the Services and/or Site, you grant the Hotel, its successors, and assigns a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, copy, distribute, transmit, modify, and create derivative works of such User Content for the purpose of providing and improving the Services, including for commercial purposes. Without derogating from the foregoing, you acknowledge that any User Content you choose to publish on the Site will be visible to Site visitors and/or other users.
    • We respect the intellectual property rights of others. If you believe that any information or Content, including User Content, on the Site infringes intellectual property rights belonging to you, please contact us using the contact details provided at the end of these Terms.

 

  1. Changes, Malfunctions, and Service Interruptions on the Site:
    • The Hotel reserves the right to modify or remove Content from the Site (including User Content) and/or to modify or discontinue any Services, for any reason, at its sole discretion and without prior notice. The Hotel has no obligation to update any information or Content on the Site.
    • The Hotel shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Site and/or any Service.
    • The Hotel does not warrant that the Site and/or the Services will be uninterrupted, provided in an orderly fashion, continuous, secure, or error-free, or that they will be protected against unauthorized access to the Hotel’s computers or against damages, defects, malfunctions, or failures in hardware, software, or communication lines and systems of the Hotel or any of its providers.
  2. Reservations and Purchases:
    • Orders and purchases shall be made through the booking system on the Site. Accommodation units may be booked through the system, by entering the requested dates and the required booking details.
    • Prices, service availability, and other purchase terms may change from time to time. The Hotel reserves the right to change the range of services or to discontinue them, or to change the prices of the services offered on and outside the Site, without prior notice.
    • Commercial bookings are not permitted on the Site. For commercial bookings, please contact the Hotel using the contact details provided at the bottom of these Terms.
    • When ordering a Service through the Site, the purchaser is responsible for providing correct, accurate, up-to-date, and complete information. Entering false purchase details is strictly prohibited. The Hotel may verify the details entered after the order is made, and may cancel or restrict the order at any time if it finds that the details provided are incorrect. If payment was made for a canceled order, the Hotel shall refund the amount paid to the same means of payment, subject to the Hotel’s cancellation policy.
    • If, for any reason, the credit card company refuses to transfer the payment amount for an order you placed, the Hotel may suspend or immediately terminate the provision of the Services, and may demand payment by other means, at the Hotel’s discretion, together with any costs incurred by the Hotel as a result of the refusal (including any third-party penalties). If the Hotel is required to initiate legal proceedings to collect outstanding amounts, the purchaser undertakes to reimburse the Hotel for all expenses incurred, including attorney’s fees and additional legal expenses.
    • Purchase of Services through the Site is subject to additional terms and conditions that may be specified on the Site.
    • It is clarified that as part of the purchase on the Site, messages will be sent to the customer, such as confirmation of the order, an invoice for the purchase (if made), information about the order, and more. The Hotel reserves the right to send such messages by any means of communication, such as email or SMS to a phone.
    • An order shall be deemed confirmed only after receipt of an order confirmation from the Hotel, including the confirmation number and order details.
    • The Hotel may, unilaterally, choose not to confirm an order made and/or confirmed through the Site, or may cancel an order made through the Site and confirmed automatically, at its discretion, in cases where there was an error in the order, including but not limited to an error in the transaction price, technical error, error in service publication, error in policy, or any other human error. Such cancellation shall take place within 72 hours from the time the order was made, but not less than 30 days before the date of the booked stay.
    • If the Hotel cancels a transaction as described in Section 9.9, the Hotel will not charge the purchaser for the transaction cost and will contact the purchaser to complete the transaction properly.
    • Entering credit card details when placing an order will be for deposit purposes only, unless otherwise stated or required on the Site at the time of booking or by the Hotel.
    • Unless otherwise stated or required as above, payment for the order shall be made at the Hotel upon arrival, or in accordance with the cancellation policy of the order.
    • Without derogating from the above, it is clarified that after providing credit card details, the Hotel may conduct a validity check of the credit card with the relevant credit card company. As part of this check, a hold may be placed on the card for the amount of NIS 500 for the sole purpose of verifying the card’s validity, without actual charges being made. The hold shall be automatically released in accordance with the credit card company’s policy, and no later than 30 days from the date of the check.
    • Payment in cash, subject to the Hotel’s approval, shall be made in accordance with the law, including the provisions of the Law for the Reduction of the Use of Cash, 5778-2018.

 

  1. Reservation Change and Cancellation Policy:
    • Cancellation of accommodation services and receiving a refund is allowed within 14 days from the date of the transaction or from the date of receipt of the transaction details (whichever is later), provided that more than 7 days that are not rest days remain before the date of the stay. In a distance sale transaction carried out by a person with a disability, senior citizen, or new immigrant, as defined under the Consumer Protection Law, where the transaction included communication between you and the Hotel (including via electronic communication), you may cancel the transaction within four (4) months from the date of the transaction or from the date of receiving the document containing the main terms of the transaction, whichever is later, provided the cancellation is made before the service is provided.
    • In the event of a cancellation as described above, the customer will be charged a cancellation fee of 100 NIS or 5% of the booking value, whichever is lower.
    • Free cancellation 3 days before arrival date. This policy constitutes the Hotel’s basic policy. Specific and/or additional terms may apply to various promotions offered by the Hotel. These specific terms will appear during the booking process and in the booking confirmation, and will apply to the relevant booking.
    • No refund will be granted for bookings from a price list that requires immediate, full, or partial payment if the cancellation occurs after 14 days from the date of the transaction or from the date of receiving the transaction document (whichever is later), and the cancellation date does not fall within 7 days that are not rest days prior to the accommodation date, or in the case of no-show without prior notice.
    • Cancellations and refunds will be approved after the customer receives a confirmation from the Hotel.
    • All refunds will be made using the same payment method used by the customer for the purchase.
    • The foregoing is subject to the provisions regarding cancellation of a transaction under the Consumer Protection Law, 5741–1981.
  2. Hotel Liability:
    • The content on the Site is provided “as is” and cannot be tailored to the needs of each individual. By using the Site, the user agrees that they will have no claim, demand, or action against the Hotel regarding the features, capabilities, limitations, or suitability of the content, and that use of the Site is at the user’s sole responsibility.
    • The user agrees that their use of the Site is entirely at their own risk. The Hotel does not guarantee that the content and Services published on the Site will be complete, accurate, or meet the expectations and requirements of any user. The Hotel shall not be liable for any outcome resulting from the content, its use, or reliance on it, including, but not limited to: (1) errors, mistakes, and inaccuracies; (2) bodily injury or property damage of any kind caused by use of the Site and/or purchase through the Site; (3) disruption of access to or from the Site; and (4) any bug, virus, Trojan horse, or similar that may be transmitted to the Site by any third party.
    • Information on the Site should not be construed as a promise of any specific result or as a guarantee regarding the operation of the Services offered on it. The Hotel will not be responsible for any direct or indirect damage caused to a visitor resulting from reliance on information appearing on the Site (including any content and/or User Content) and/or links to other sites and/or any internal or external information source and/or use of the Services presented.
    • Images on the Site are for illustration purposes only. Differences may exist in appearance, color, size, etc., between what is shown on the Site and the actual Service provided to the customer. Typographical errors in the description of a Service and/or its price do not obligate the Hotel.
    • Information and representations regarding products and/or Services displayed on the Site that originate from the Hotel’s business partners and/or third parties whose products and/or Services appear on the Site, and any related Content, are the sole responsibility of those business partners and/or third parties. Accordingly, the Hotel has no responsibility for such information and does not guarantee its accuracy.
    • The responsibility for entering correct booking details, as well as ordering the requested Service, dates, accommodation units, meals, and any other Service, rests solely with the customer. The Hotel shall not be liable for errors made by the customer.
    • The Hotel recommends that visitors to the Site act as prudent and careful consumers and carefully read the information presented on the Site, including information regarding the Service itself, its description, and suitability as described on the Site.
    • Provision of Services is subject to the Hotel’s sole discretion.
    • The Hotel shall not be liable in the event that a booking or purchase is not recorded in the system, in the event of technical failures on the Site, or any other problem preventing the user from making a booking or purchase on the Site.

 

  1. Jurisdiction:
    • These Terms and the use of the Site and/or Services shall be governed exclusively by the laws of the State of Israel, without applying the conflict of law rules thereof.
    • The courts in the Tel Aviv District shall have exclusive jurisdiction over any matter arising from or related to these Terms and/or any legal disputes between you and the Hotel.

 

  1. Technical Corrections:
    • The Site as a whole, including all information appearing on it, is offered to the public “as is” and will be as accurate and correct as possible; however, the information may be incomplete or technical or other errors may have occurred. The Hotel reserves the right to correct any such mistakes, errors, or inaccuracies and to update the information on the Site at any time without prior notice.

 

  1. Limitation of Liability:
    • The Hotel shall not be liable, to the extent permitted by law, for any mismatch, deficiency, misleading information, or error regarding the Content on the Services and/or the Site, including their quality, suitability, or description of the Services offered on the Site. You acknowledge and agree that your use of the Services and the Site is at your sole responsibility. The use of the Site, Services, and/or Content displayed therein is provided to you “as is” and “as available,” at the Hotel’s discretion, without any warranty of any kind, including suitability for your personal needs.
    • To the extent permitted by law, any reliance on the Content (including User Content) is at your sole responsibility, and the Hotel disclaims all express or implied warranties regarding the accuracy, reliability, timeliness, currency, quality, completeness, usability, security, or performance of the Site, Services, Content, User Content, or any information available through the Site or Services, or that such Content or information will be error-free or that errors, if any, will be corrected.
    • To the extent permitted by law, the Hotel disclaims all obligations of any kind, whether express, implied, or statutory, and does not guarantee that the Site and/or Services will be provided uninterrupted or error-free, will be of any particular quality, will be secure, or will be free from unauthorized access to the Hotel’s computers or software, or from damage, malfunctions, failures, including in hardware, software, or communication systems of the Hotel, its suppliers, or yourself. You acknowledge that the Site and/or Services may be unavailable in the future for maintenance, upgrades, or any other reason.
    • Third Parties: We cannot control services provided by third parties and are not responsible for any line or network failure, internet traffic, or overload on the Site. We cannot control the actions of malicious actors and do not guarantee that we can prevent unauthorized access to or modification of the Site and/or Services.
    • Users: We cannot predict or control the actions or omissions of others, including our users. We are not responsible, regardless of the manner of action, for acts or omissions of any users, unless resulting from gross negligence or intentional conduct by us.
    • Information Storage: We are not a data storage service. It is your sole responsibility to back up any information you provide to us. If the information you provide is lost or damaged for any reason, we will not be liable for any resulting damage or loss if you cannot recover the information.
    • To the extent permitted by law, the Hotel, its managers, officers, employees, agents, or shareholders shall not be liable to you or any third party for any loss, damage, or compensation, including, without limitation, indirect, consequential, incidental, punitive, or special damages (including, without limitation, loss of databases, software, costs of alternative services, privacy breaches, or service interruptions) arising from these Terms, use or inability to use the Site, Services, Content (User Content), any related matters, transaction execution, unauthorized use of the Site or Services, or changes to the information provided by you, including loss of profits, use, information, or other intangible assets, even if the Hotel was advised of the possibility of such losses. To the maximum extent permitted by law, the Hotel’s total cumulative liability under any provision of these Terms shall not exceed the amount you paid to the Hotel in connection with the Services during the three (3) months preceding the relevant claim.
    • Personal Data may be received from you during your use of the Site and/or Services. Any use by the Hotel of Personal Data received during your use of the Site and/or Services shall be subject to the provisions of the Privacy Notice. By providing such Personal Data, including, without limitation, contact details, you acknowledge the risks involved and release the Hotel from any liability in this regard.
    • Accordingly, you understand that use of the Site and Services involves a certain degree of risk. By choosing to use the Site and Services, you do so at your sole discretion and assume all associated risks. Under applicable law, limitations of liability may not always be possible, and some of the liability limitations above may not apply to you. Please review the applicable law regarding implied liability exclusions.
    • You agree to bear full responsibility for any direct or indirect result arising from your use of the Site or Services. Accordingly, you agree to indemnify and hold harmless the Hotel, its employees, managers, and agents against any claim, demand, loss, profit loss, payment, expense, or damage, including attorney fees and legal costs (including third-party costs), arising directly or indirectly from: (a) your breach of one or more of these Terms or use of a device or account associated with you; (b) your manner of using or attempting to use the Site or Services; (c) violation of any applicable law; (d) infringement of any right (including intellectual property) of the Hotel or any third party; (e) breach of any of your representations and commitments under these Terms; or (f) any other matter for which you are responsible under law.

 

  1. Termination:
    • The provisions of these Terms shall remain in effect during your use of the Site and/or Services. Without limiting any other provision of these Terms, the Hotel reserves the right to prevent any visitor from using the Site (including blocking certain IP addresses) for any reason or no reason, at its sole discretion, without prior notice or warning, and without liability for any resulting damage. Furthermore, the Hotel may terminate your use of the Site and/or Services, and remove any Content (including User Content) or information you have posted on the Site at any time, without prior warning. Provisions of these Terms that by their nature are intended to continue after the end of your use of the Site and/or Services, including but not limited to limitations of liability, indemnification, intellectual property, jurisdiction, and confidentiality, shall continue to apply after the termination of your use of the Site and/or Services for any reason.

 

  1. Miscellaneous:
    • These Terms constitute the entire agreement and understanding regarding your use of the Site and/or Services. Failure to exercise or enforce any right or provision under these Terms shall not be considered a waiver by the Hotel of such right or provision. The Hotel may assign all or part of its rights and/or obligations under these Terms to others.
    • Unless explicitly stated otherwise, any notice under these Terms shall be in writing and shall be deemed properly delivered when delivered by hand with acknowledgment of receipt, sent via a recognized courier with tracking, or sent by email to the addresses specified below or provided between the parties (or any updated address provided in notice). Notices to you may be delivered via your email address, by posting a prominent notice in your user interface, or by any other reasonable means.
    • Neither party shall be liable for failure to perform any of its obligations under these Terms due to force majeure, hostilities, war, general mobilization, pandemics, fire, floods, other natural disasters, or any similar event beyond the reasonable control of the affected party. The party affected by the force majeure event shall notify the other party in writing and shall reasonably mitigate the effects of the event on the performance of its obligations. It is clarified that a force majeure event shall not excuse a party from paying any amount due under these Terms.
    • Nothing in these Terms creates any joint venture, employment, agency, partnership, or authorizes you to act on behalf of the Hotel. These Terms reflect the entire agreement between the parties regarding the Site, Services, and their relationship and shall override any prior agreement or commitment, whether oral or written. The Hotel may assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, to any third party at its sole discretion. You may not assign, transfer, or delegate your rights or obligations under these Terms, and any such attempted assignment shall be null and void. No employment, agency, or partnership relationship exists or shall be deemed to exist between you and the Hotel for any purpose. You agree that we may contact you at any address known to us, including via email.
    • If any provision of these Terms is determined to be unenforceable or invalid for any reason, this shall not affect the legality, validity, or enforceability of the remaining provisions of these Terms.

 

  1. Contact:
    • The Hotel complies with applicable law and respects the privacy and reputation rights of Site users and others. If you believe that any Content published on the Site is harmful to you in any way, please contact us using the details below, and we will make every effort to address your request as soon as possible.
